1. Acceptance of Terms

By accessing and using Tuno ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use the Service. These Terms constitute a legally binding agreement between you and Tuno.

2. Description of Service

Tuno is an AI-powered music creation platform that processes user inputs (including text prompts, audio, and other content) to generate musical audio and visual output. The Service includes experimental AI technology that may produce unexpected, inaccurate, or potentially offensive content. We continuously work to improve our technology but cannot guarantee perfect results.

3. User Accounts

To use certain features of the Service, you must create an account. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete registration information
• Notifying us immediately of any unauthorized use of your account

You must be at least 13 years old to use the Service. If you are under 18, you represent that your parent or guardian has reviewed and agreed to these Terms.

4. User Submissions

You are solely responsible for all content you submit to the Service ("User Submissions"), including text prompts, audio files, and any other materials. By submitting content, you represent and warrant that:

• You own or have the necessary rights to use and authorize the use of all content
• Your content does not infringe any third-party intellectual property rights
• Your content does not violate any applicable laws or regulations
• You have obtained all necessary permissions from any individuals featured in your content

You grant Tuno a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, modify, and process your User Submissions for the purpose of providing and improving the Service, including training and enhancing our AI models.

5. Output Ownership and Rights

For Paid Subscribers (Pro/Premium):

Subject to your compliance with these Terms, Tuno assigns to you all right, title, and interest in the audio and visual outputs generated through the Service during your active subscription term. You may use these outputs for commercial purposes.

For Free Users:

Outputs generated on the free tier are licensed to you for personal, non-commercial use only. You must provide attribution to Tuno when sharing or publishing such content.

Important: Due to the nature of machine learning, Tuno makes no representation or warranty that any copyright or other intellectual property rights will vest in any Output. Similar outputs may be generated for other users based on their inputs.

6. Prohibited Uses

You agree not to use the Service to:

• Create content that infringes on any third-party intellectual property rights
• Generate content that impersonates artists, celebrities, or other individuals without authorization
• Produce harmful, abusive, threatening, defamatory, or illegal content
• Create content that promotes violence, discrimination, or hate speech
• Develop competing AI music generation products or services
• Attempt to reverse engineer, decompile, or extract our AI models or algorithms
• Scrape, data mine, or systematically collect data from the Service
• Circumvent any technical limitations or geographic restrictions
• Use the Service for any fraudulent or deceptive purposes
• Share or sell your account access to third parties

7. Intellectual Property

The Service, including all technology, software, AI models, algorithms, designs, trademarks, and branding, is owned by Tuno and protected by intellectual property laws. Nothing in these Terms grants you any right, title, or interest in the Service beyond the limited license to use it as provided herein.

8. Subscription and Payments

Certain features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. All fees are non-refundable except as expressly set forth in our Refund Policy.

9. Service Availability

We strive to maintain the Service's availability but do not guarantee uninterrupted access. The Service is provided "as is" and "as available." We may modify, suspend, or discontinue any part of the Service at any time without prior notice.

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED OUTPUTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TUNO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNTS PAID BY YOU TO TUNO IN THE SIX MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tuno and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your User Submissions, or your violation of these Terms.

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Service shall be resolved through binding arbitration in accordance with applicable arbitration rules, except where prohibited by law. You agree to waive any right to participate in class action lawsuits or class-wide arbitration.

14. Termination

We may terminate or suspend your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will remain in effect.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website or through the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

16. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles.
